Website Terms and Conditions of Use

1. Acceptance of Terms

These Terms and Conditions of Use ("Terms") govern your access to and use of the website, content, and services (collectively, the "Site") operated by Dye Precision CNC Inc. ("Dye CNC," "Company," "we," "us," or "our"), a California corporation with its principal place of business at 12105 Kirkham Rd., Poway, CA 92064. By accessing or using the Site, submitting a request for quotation ("RFQ"), or transmitting any information to Dye CNC through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the Export Control Notice and Data Collection Disclosures set forth below. If you do not agree to these Terms, do not access or use the Site.

2. About Dye Precision CNC Inc.

Dye Precision CNC Inc. is a precision CNC machining and contract manufacturing company. Dye CNC maintains a Quality Management System ("QMS") conforming to AS9100 Rev. D (incorporating ISO 9001:2015) and conducts business subject to United States export control laws, including the International Traffic in Arms Regulations ("ITAR").

3. Export Control and ITAR Compliance Notice

3.1 Regulatory Framework

Certain products, technical data, drawings, specifications, software, and services referenced on, transmitted through, or provided in connection with this Site may be subject to the International Traffic in Arms Regulations (22 C.F.R. Parts 120–130), administered by the U.S. Department of State, Directorate of Defense Trade Controls ("DDTC"), and/or the Export Administration Regulations (15 C.F.R. Parts 730–774), administered by the U.S. Department of Commerce, Bureau of Industry and Security ("BIS"). Dye CNC is registered with the DDTC.

3.2 Restrictions on Controlled Technical Data

ITAR-controlled technical data and defense articles may not be exported, re-exported, transferred, disclosed, or released — including by electronic transmission, cloud storage, oral disclosure, or visual inspection — to any foreign person, whether located in the United States or abroad, without prior written authorization from the U.S. Department of State or other applicable licensing authority. A "foreign person" is any person who is not a U.S. citizen, lawful permanent resident, or protected individual as defined in 8 U.S.C. § 1324b(a)(3).

3.3 Your Obligations

By submitting technical data, drawings, models, or specifications to Dye CNC through this Site or otherwise, you represent and warrant that: (a) you have identified and marked any export-controlled data in accordance with applicable regulations; (b) you will not transmit ITAR-controlled technical data through unsecured or unauthorized channels; (c) you are not a person or entity identified on any U.S. Government restricted-party list (including the Denied Persons List, Entity List, or Specially Designated Nationals List); and (d) you will comply with all applicable U.S. export control and economic sanctions laws in your dealings with Dye CNC. You agree to notify Dye CNC in writing prior to transmitting any export-controlled data and to use only the secure transmission methods designated by Dye CNC for such data.

3.4 Diversion Prohibited

Use, diversion, or transfer of any Dye CNC products, technical data, or services contrary to U.S. law is prohibited. Violations of U.S. export control laws may result in civil and criminal penalties. Dye CNC reserves the right to refuse any order, RFQ, or data submission where export compliance cannot be verified.

4. AS9100 Quality Management Provisions

4.1 Quality System

Work performed by Dye CNC is executed under a QMS conforming to AS9100 Rev. D. Quality requirements applicable to specific purchase orders, including customer flow-down requirements, are governed by the applicable purchase order, quality clauses, and any executed supply agreement, which take precedence over these Terms in the event of conflict.

4.2 Right of Access

In accordance with AS9100 requirements, Dye CNC affords its customers, their customers, and regulatory authorities the right of access to applicable areas of its facilities and to applicable documented information, at any level of the supply chain, subject to prior coordination, safety requirements, and — for ITAR-controlled programs — verification of U.S. person status or appropriate export authorization.

4.3 Counterfeit Part Prevention and Product Safety

Dye CNC maintains processes for the prevention, detection, and disposition of counterfeit or suspect counterfeit parts, and for ensuring product safety and ethical behavior in accordance with AS9100 Rev. D. Suppliers and customers interacting with Dye CNC through this Site acknowledge the importance of their contribution to product and service conformity, product safety, and ethical conduct.

4.4 Records

Quality records are retained in accordance with Dye CNC record retention procedures and applicable contractual and regulatory requirements.

5. Permitted Use of the Site

You may use the Site solely for lawful business purposes. You agree not to: (a) attempt to gain unauthorized access to any portion of the Site, systems, or data; (b) interfere with the operation or security of the Site; (c) use automated means (bots, scrapers, crawlers) to extract data without written permission; (d) upload malicious code; (e) misrepresent your identity, affiliation, or nationality/status in connection with export-controlled transactions; or (f) use the Site in violation of any applicable law, including U.S. export control and sanctions laws.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images, photographs, technical documentation, and software — is the property of Dye Precision CNC Inc. or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. No license or right is granted by implication or otherwise except as expressly stated in these Terms. Trademarks, trade names, and logos displayed on the Site may not be used without prior written consent.

7. RFQs, Submissions, and Customer Data

Technical data, drawings, and specifications submitted in connection with an RFQ or purchase order are treated as confidential business information and are used solely for the purpose of evaluating, quoting, and performing the work, and for compliance with legal, contractual, and quality-record obligations. Export-controlled submissions are handled in accordance with Section 3 and Dye CNC internal export compliance procedures, including access restrictions limiting such data to authorized U.S. persons or persons covered by an applicable export authorization. Dye CNC does not claim ownership of customer-furnished technical data.

8. Data Collection and Privacy Disclosures

This Section describes the categories of information Dye CNC collects through the Site and how it is used, and provides the notices required by applicable law, including the California Consumer Privacy Act of 2018 as amended by the California Privacy Rights Act ("CCPA/CPRA").

8.1 Categories of Information Collected

  • Identifiers and contact information you voluntarily provide: name, company, job title, business email address, business phone number, and mailing address (e.g., via contact forms, RFQ submissions, or career applications).
  • Commercial and transactional information: RFQ contents, purchase history, and correspondence.
  • Internet and network activity: IP address, browser type, device identifiers, operating system, referring URLs, pages viewed, and date/time stamps, collected automatically through server logs, cookies, and similar technologies.
  • Professional and employment-related information submitted with job applications, including citizenship or immigration status information where required to verify eligibility for access to export-controlled data under ITAR.

8.2 Purposes of Collection and Use

  • Responding to inquiries, processing RFQs, and performing contracts.
  • Site operation, security, fraud prevention, and diagnostics.
  • Compliance with legal obligations, including export control screening (restricted-party screening and U.S. person verification), quality-record retention under AS9100, tax, and accounting requirements.
  • Analytics to improve Site content and performance.
  • Business communications you have requested or that are reasonably expected in a B2B relationship.

8.3 Cookies and Tracking Technologies

The Site uses cookies and similar technologies, which may include strictly necessary cookies (required for Site function and security) and analytics cookies. You can manage cookies through your browser settings; disabling certain cookies may affect Site functionality.

8.4 Sale and Sharing of Personal Information

Dye CNC does not sell personal information and does not share personal information for cross-context behavioral advertising, as those terms are defined by the CCPA/CPRA. Dye CNC has no actual knowledge of selling or sharing personal information of consumers under 16 years of age. The Site is intended for business users and is not directed to children under 13.

8.5 Disclosure to Third Parties

Personal information may be disclosed to: service providers acting on our behalf under contractual confidentiality obligations (e.g., IT hosting, analytics, shipping carriers); professional advisors; government authorities where required by law, subpoena, or regulation, including U.S. export licensing and enforcement authorities; and successors in the event of a merger, acquisition, or asset sale. Disclosures are limited to what is reasonably necessary for the purposes described above.

8.6 Your California Privacy Rights

If you are a California resident, you have the right, subject to applicable exemptions (including exemptions for business-to-business and employment-related data as provided by law), to:

  • Know and access the categories and specific pieces of personal information we have collected about you, the sources, purposes, and categories of recipients.
  • Request deletion of your personal information, subject to legal retention obligations (including export control and quality-record retention requirements).
  • Request correction of inaccurate personal information.
  • Opt out of the sale or sharing of personal information (Dye CNC does not currently sell or share personal information as described in Section 8.4).
  • Limit the use of sensitive personal information, to the extent applicable.
  • Exercise these rights without discrimination.

8.7 Data Retention and Security

Personal information is retained only as long as reasonably necessary for the purposes described above and to satisfy legal, contractual, quality-system, and export-compliance retention obligations, after which it is deleted or de-identified. Dye CNC maintains administrative, technical, and physical safeguards designed to protect personal information and controlled technical data, including access controls for ITAR-controlled information. No method of transmission or storage is completely secure, and Dye CNC cannot guarantee absolute security.

8.8 Visitors Outside the United States

The Site is operated from the United States and intended for U.S. business audiences. If you access the Site from outside the United States, you consent to the transfer, processing, and storage of your information in the United States, where data protection laws may differ from those of your jurisdiction.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INFORMATION ON THE SITE (INCLUDING PRODUCT SPECIFICATIONS, CAPABILITIES, AND CERTIFICATIONS) IS PROVIDED FOR GENERAL INFORMATION ONLY AND DOES NOT CONSTITUTE A BINDING OFFER, QUOTATION, OR CERTIFICATION OF ANY SPECIFIC PART OR ORDER. QUALITY, DELIVERY, AND WARRANTY TERMS FOR MANUFACTURED GOODS ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE PURCHASE ORDER, QUOTATION, OR SUPPLY AGREEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYE PRECISION CNC INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL DYE CNC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dye Precision CNC Inc. and its officers, directors, employees, and agents from and against any claims, damages, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of any applicable law, including U.S. export control or sanctions laws; (c) your misidentification or failure to identify export-controlled technical data submitted to Dye CNC; or (d) your infringement of any third-party rights.

12. Third-Party Links

The Site may contain links to third-party websites. Dye CNC does not control and is not responsible for the content, privacy practices, or security of third-party sites. Accessing linked sites is at your own risk and subject to those sites’ own terms and privacy policies.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California and applicable federal law of the United States, without regard to conflict-of-law principles. Exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Site shall lie in the state and federal courts located in San Diego County, California, and you consent to the personal jurisdiction of such courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to These Terms

Dye CNC may revise these Terms at any time by posting an updated version on the Site with a revised "Last Revised" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Material changes to the data collection disclosures in Section 8 will be identified by an updated effective date and, where required by law, additional notice.

15. Severability; Entire Agreement; No Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and Dye CNC regarding use of the Site. Failure to enforce any provision is not a waiver of the right to enforce it later. You may not assign these Terms without Dye CNC’s prior written consent.
